FORMING A FLORIDA 501 (C)(3) NON-PROFIT CORPORATION
If you are looking to form a non-profit corporation for a charitable purpose a Florida 501 (c)(3) non-profit corporation may be the right fit. A Florida 501 (c)(3) non-profit corporation has to be formed for an exempt purpose. A few of these exempt purposes would be a charitable, religious, or educational purpose. The first step would be to form the Florida 501 (c)(3) non-profit corporation. Next would be completing an application with the IRS to have the Florida 501 (c)(3) non-profit corporation be tax exempt. Federal Tax Identification Number (EIN)– This is a number that will be required to open the bank account for the Corporation or LLC. – $30 – The EIN for a foreign individual without a U.S. Social Security Number or ITIN is $110.
ITIN (Individual Taxpayer Identification Number)– This number can be obtained by non-U.S. citizens and foreign individuals without a U.S. Social Security Number so that that person can file a U.S. Tax Return. – $110
Registered Agent Service & Attorney Guidance– Homsi Law, P.A. offers this service that includes our firm serving as the Registered Agent for your business. With this service our firm will also help you with the drafting of the Annual Minutes for your company’s records. Florida State Sales Tax Number– This number is required for Corporation who pay employees. The number is used to withhold the required state unemployment withholdings. – $40
501 (c)(3) with the IRS– This application must be completed and submitted to the IRS in order for the 501 (c)(3) corporation to be tax exempt. This filing will allow people who donate to the corporation to deduct these donations. There are money other benefits such as the ability to apply for grants. – $900
State Filing to Solicit Contributions– The State of Florida requires anyone, including charitable organizations, who solicits donations from individuals in Florida to register. Homsi Law, P.A. can assist with this registration for your corporation. – $80
Florida Unemployment Tax Account Number– If your Company will be paying employees, it is required to obtain a Florida Unemployment Tax Account Number. The number is used to withhold the required state unemployment withholdings. – $40
Florida Fictitious Name (DBA)– If you plan to use another name for your business you will be required to register a DBA with the State of Florida. We can complete this registration and the accompanying documents for you. – $130

USDOT Number– Companies that operate commercial vehicles transporting passengers or hauling cargo in interstate commerce must be registered with the Federal Motor Carrier Safety Administration (FMCSA) and must have a USDOT Number. Also, commercial intrastate hazardous materials carriers who haul types and quantities requiring a safety permit must register for a USDOT Number. – $300
Home Office Lease– If you plan to have an office in your home, there may be tax advantages for the use of this space in your home. We can prepare a Home Office Lease to have the details in writing. – $75

Indemnification– As a Shareholder (owner) of a Corporation there are many protections that Shareholders receive when forming a Corporation. The Indemnification Agreement is an agreement that protects the Directors and Officers of the Corporation in the event they are sued for activities they carry out when performing their work for the Corporation.
